Eligibility: The Vineyard Vines Ultimate Kentucky Derby® Giveaway (“Sweepstakes”) is open only to legal residents of the United States who are at least twenty-one (21) years of age. Employees of Vineyard Vines, LLC (“Sponsor”), as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible to enter.

Agreement to Official Rules: By entering the Sweepstakes, you indicate your full and unconditional agreement to, and acceptance of, these Official Rules and Sponsor’s decisions, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Entry Period: The Sweepstakes begins at 12:01 a.m. ET on March 15th, 2025, and ends at 11:59 p.m. ET on May 3rd, 2025 (the “Entry Period”). Entries submitted before or after the Entry Period will not be eligible. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

How to Enter: To enter, you must meet all eligibility requirements and use at least one of the following methods:

1. Instagram Entry: (i) follow @vineyardvines on Instagram; (ii) like the social activation post advertising the Sweepstakes; (iii) tag two friends; and (iv) comment #VVDerbyGiveaway.
2. Facebook Entry: (i) follow @vineyardvines on Facebook; (ii) like the social activation post advertising the Sweepstakes; (iii) tag two friends; and (iv) comment #VVDerbyGiveaway.
3. Landing Page Entry: Scan a QR code or type in the URL found on promotional materials advertising this Sweepstakes and complete the entry form on the landing page.

There is a limit of one (1) entry per person per method of entry. By entering, you indicate your agreement to these Official Rules and Sponsor’s decisions related to this Sweepstakes, which are final and binding.

Drawing: During the week of May 12th, 2025, Sponsor will select one (1) potential winner in a random drawing of all eligible entries received. The odds of being selected depend on the number of eligible entries received.

Notification and Requirements of Potential Winners: Sponsor will attempt to notify each potential winner by direct message or email, depending on the method of entry. If a potential winner fails to respond within five (5) days, an alternate potential winner may be selected in a random drawing of all remaining entries received. A potential winner may be required to sign an Affidavit of Eligibility certifying that he or she is eligible and able to receive a prize and a Publicity Release consenting to the potential participation in promotional activities related to the Sweepstakes and/or the perpetual, worldwide, royalty- free use of his/her name and/or photo for promotional purposes. Only three (3) alternate potential winners may be contacted.

Prize: One (1) winner will receive a trip for the winner and one (1) guest to the 2026 Kentucky Derby® on May 1-2, 2026 (the “2026 Derby”), including:

1. Prize One: 2 tickets to attend the 2026 Kentucky Oaks® on [May 1, 2026] and the Kentucky Derby® on [May 2, 2026].
   Tickets are subject to availability and exclusions, and the tickets and all related details will be determined by Sponsor in its sole discretion. Tickets are subject to certain terms and conditions, as specified thereon. Winner and guest must comply with all venue rules and regulations.
2. Round trip air transportation (coach/economy) for the winner and one (1) guest from/to an airport near to the winner’s residence to/from an airport near the location of the 2026 Derby (U.S. Domestic Travel Only). The winner and guest must travel on the same itinerary. All air transportation details will be determined by Sponsor in its sole discretion.
3. Hotel accommodation (one room) for the winner and one (1) guest for two (2) nights. All lodging details will be determined by Sponsor, in its sole discretion.
4. Two (2) vineyard vines 2026 Derby looks for the winner and one (1) guest, including an opportunity to work with a vineyard vines stylist (value not to exceed $5,000 in the aggregate).

The approximate retail value of the prize is $15,000. The actual value may vary based on various factors. Any difference between the stated value and actual value will not be awarded. The winner and guest each must be at least twenty-one (21) years of age. The guest may also be required to sign a liability/publicity release.

A winner is responsible for paying any applicable income taxes and any and all other costs and expenses not listed above. Any prize details not specified above will be determined by Sponsor, in its sole discretion. The prize may not be transferred and must be accepted as awarded. You may not request cash or a substitute prize; however, Sponsor reserves the right to substitute the prize (or component thereof) with another prize of equal or greater value, if the prize is not available for any reason, as determined by Sponsor in its sole discretion.

A winner and the one (1) guest will be required to cooperate with Sponsor in a timely manner to make all necessary arrangements relating to the Prize.

General Conditions: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any entry, the authorized account holder of the email address provided on the entry form will be deemed to be the participant. The Sweepstakes is subject to federal, state, and local laws and regulations and is void where prohibited. The Prize is not transferable. The Sweepstakes is subject to federal, state, and local laws and regulations and is void in Alaska, Hawaii, and where prohibited.

Release and Limitations of Liability: By participating in the Sweepstakes, you agree to release and hold harmless Sponsor, Churchill Downs Racetrack, LLC, Meta, Instagram and their respective parents, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury or damage to persons or property. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys’ fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Privacy and Publicity: Any information you submit as part of the Sweepstakes will be used for purposes of this Sweepstakes and treated in accordance with Sponsor’s Privacy Policy. By entering the Sweepstakes, you agree to receive marketing communications from Sponsor. You may opt out at any time. Except where prohibited, participation in the Sweepstakes constitutes an entrant’s consent to Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and city and state of residence for promotional purposes in any media without further payment or consideration.

Disputes: Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Fairfield County, Connecticut. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Connecticut, without giving effect to any choice of law or conflict of law rules (whether of Connecticut or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Connecticut.
